How many partners may a Bolivian S.R.L. have?+

The Commercial Code sets a maximum of 25 partners. Commercial companies are formed by two or more persons, so the ownership structure should be defined before the constitutive deed is prepared.

Must the capital be fully paid at formation?+

Yes. Articles 199 and 200 of the Commercial Code provide that S.R.L. capital and contributions in money or in kind must be fully paid at formation. Contributions in kind are subject to the applicable valuation rules.

What documents does SEPREC currently require?+

SEPREC’s published requirements include the Virtual Registration Form approved through Digital Citizenship, the Public Deed of Formation and, where the appointment or authority is not included in the deed, the legal representative’s power of attorney. The filing fee and publication in the Electronic Gazette of the Commercial Registry are also required.

How long does the company-name reservation last?+

SEPREC states that the reservation lasts 10 administrative business days beginning the day after confirmation that the name is available. Preparing the corporate documents in advance helps avoid expiration of the reservation.

Can the lawyer handle preparation and follow-up?+

The engagement may include corporate structuring, document preparation or review, notarial coordination and registration follow-up. Certain actions still require the participation, approval or signature of the partners or legal representative under the applicable procedure.
